# What belongs in a GmbH's email signature

A business letter under German commercial law covers email too, so a message sent in the name of a GmbH or UG must carry the same details as a paper letterhead, the full legal name, legal form, registered seat, registry court, commercial register number and the names of the managing directors.

That requirement sits separately from a website's Impressum and applies at the level of every single message rather than a page, so a business email without a signature carrying these details breaks the rule on its own, even when the website's Impressum is entirely in order.

A UG must carry the addition haftungsbeschränkt in its signature too, exactly as on the website, and leaving it out makes the signature incomplete regardless of what else is there.

A VAT identification number is not mandatory in the signature, though many companies mistakenly treat it as part of the list, what actually goes missing more often is the registry court and register number, since staff use personal signatures without those fields.

Formally the requirement covers a business letter, in practice almost any automated message sent in the company's name falls under it, an invoice, an order confirmation or a system notification, not only a message a person wrote by hand.

A send through a newsletter service also counts as a business letter in this sense, and the signature requirement exists separately from the consent requirement for the send itself, covered in a separate text on double opt in.

In practice a single signature template set centrally in the mail client or through a company policy is easier to enforce than trusting every employee to fill in the details correctly by hand.

Missing mandatory details can bring a fine through the registry court under the enforcement rules for the commercial register, a separate risk from a possible warning letter under unfair competition law over an incomplete Impressum.
